Non-Vehicle Service Contract Agreement

UNITED GUARD SERVICE CONTRACT COVERAGE IS AVAILABLE TO ORIGINAL COMMERCIAL PURCHASERS OF CERTAIN NEW AND USED PRODUCTS AND EQUIPMENT (THE "EQUIPMENT") PURCHASED DIRECTLY FROM UNITED RENTALS OF CANADA. INC. (TOGETHER WITH ITS SUBSIDIARIES AND AFFILIATES. "UNITED RENTALS". THE "OBLIGOR," "US" OR "WE") WITHIN 72 HOURS OF EQUIPMENT PURCHASE.
THIS NON-VEHICLE SERVICE CONTRACT AGREEMENT (THIS "AGREEMENT") IS NOT AN INSURANCE CONTRACT AND IT IS AVAILABLE ONLY TO UNITED RENTALS' DIRECT COMMERCIAL CUSTOMERS.
In return for payment by a direct commercial customer ("You" or the ''Customer") of the contract price (including applicable taxes) specified on the Equipment Sale Agreement/Invoice ("Your Invoice") that is attached hereto and is hereby incorporated by reference into this Agreement, the Obligor agrees with You as follows:
Subject to all of the limitations and other terms and conditions of this Agreement, particularly Sections 6 and 7 hereof, and further subject to the coverage term (3, 6 or 12 month) as referenced on Your Invoice., the Obligor will repair or replace the Equipment on behalf of the Customer in the event the covered Equipment specified on Your Invoice or any component thereof fails to function during normal use. Wear, tear, and abuse of such covered Equipment are excluded. At the discretion of the Obligor, replacement parts used in covered repairs may include non-original equipment manufacturer parts, new, remanufactured, or used parts that meet the quality standards of the repairer or the Obligor. If the Equipment cannot be repaired, if the cost of the repair exceeds the original purchase price paid by You to United Rentals for the Equipment, if the parts are not available due to the age of the Equipment, or parts have been discontinued by the manufacturer, the Equipment will be replaced with equipment of comparable features, taking into consideration age, wear, and tear. If the Equipment is replaced, the term of the Agreement is completed, and the Obligor will have no further obligation to You.
This Agreement is a service contract providing specified repair or replacement benefits to You. This Agreement is not a limited warranty or manufacturer’s warranty. However, if You have purchased new Equipment directly from Us and You have also purchased service contract coverage from Us for the new Equipment, then You will have the benefit of the manufacturer's limited warranty, and after the manufacturer's limited warranty expires, You will have the benefit of this Agreement for the coverage term that you select and that is specified on your Invoice. New Equipment is defined as Equipment 1) retailed directly by United Rentals to Customer, 2) supplied to Customer in the manufacturer’s original packaging, and 3) never previously used by anyone.
The Customer represents and warrants that the Customer (i) is not a “consumer" within the meaning of applicable Canadian consumer protection laws, (ii) is entering into this Agreement only for business or commercial purposes, and (iii) is not entering into this Agreement for personal, family, household, or farming purposes, or in connection with the operation of a farm, ranch or feedlot, and the Equipment will not be used for any such purposes. The Obligor shall have no liability in respect of any Equipment used for personal, family, household, or farming purposes, or in connection with the operation of a farm, ranch or feedlot.
The effective dates (i.e. beginning date and ending date of coverage) and duration of this Agreement are specified on the face of your Invoice, consistent with your selection of 3, 6, or 12 month coverage, or until the Equipment is replaced, if necessary. In the event an authorized repairer is repairing the Equipment when this Agreement expires, the term of this Agreement will be extended until the covered repair has been completed.
The Obligor's limit of liability for any claim under this Agreement is the market value of the Equipment at time of claim, as determined by the Obligor.
Subject to the exclusions and limitations set forth in this Section 6, and in Section 7 of this Agreement, the Equipment will be covered against failure, subject to the Equipment being fully serviced, in accordance with the manufacturer’s service instructions, at the intervals recommended by the manufacturer and subject to the Customer’s compliance with the terms and conditions of this Agreement.
A) Coverage: The parts and components that are covered under this Agreement are as follows:
United Guard: ENGINE: The following internal components: block, cylinder liners, piston, piston rings, piston pins, cylinder heads, head gasket, crankshaft, main bearings, con rods, con rod bearings, balance assemblies, camshaft and followers, push rods, tappets, valves, springs and guides, timing gears, lubrication pump and drive components including failure of casting assembly, thrust bearings, internal oil seals, external oil seals (internal failure), bushes, external pump drive gear.
TRANSMISSION /TRANSAXLE: The following components: charging pumps, gear train and shafts, thrust washers, bushes, needle roller bearings, bearings, gears, internal seals, input and output seals (internal failure), clutch packs, couplings, oil lubrication pumps, main control valves, relief valves, torque converter, gearshift controller electrical and mechanical, electronic control (black-box), transmission casing, PTO drives.
DRIVE LINES,: Main shaft/s, sliding points, flange/yoke end of drive lines, pivot shaft, pivot shaft support bearings.
DRIVE AXLES/FINAL DRIVES: Bearings, shafts, thrust washers, seals, input seals (internal failure), tension springs, bull gears, pinions, ring gears, crown wheels, internal differential gears and locks, axle case, differential case, yokes, wheel hubs.
ELECTRICAL: Batteries, wiring, motors, solenoids, solenoid valves, electric instrument panel, switches, relays, sender units, hour meters, gauges, sensors, black-box, microprocessor/ ECU/ECM, starter motor, alternator, regulators, controllers, generators, coils.
COOLING SYSTEM: Hoses, fan belts, blowers, fans, fan belt tensioners, water pump, internal bearings and seals, fan thermostat, thermostat, oil coolers, radiators and cab heating assembly, intercoolers, aftercoolers, heat exchangers, and air conditioners.
SYSTÈMES DE CARBURANT : Injecteurs, tuyaux, raccords, pompe d’aspiration de carburant, pompe d’injection de carburant, pompe d’amorçage du moteur, réservoirs de carburant, carburateurs et régulateurs de propane.
SYSTÈMES HYDRAULIQUES : Tuyaux, joints toriques, joints externes, tuyaux exposés, fixations en caoutchouc, reniflards de réservoir hydraulique, moteurs hydrauliques/hydrostatiques, pompes hydrauliques/hydrostatiques, soupapes de commande hydraulique, soupapes de décharge, accumulateurs, clapet navette, réservoir hydraulique et fixation, cylindres hydrauliques (vérins), soupapes électro-hydrauliques, clapets anti retour.
CADRE PRINCIPAL /CHÂSSIS : Châssis, châssis principal, châssis porteur, barres d’égalisation/articulation, ordinateur central/châssis, fixations de cylindre, tiges, roulements, coussinets, joints, tourillon, boîtier de tourillon, supports de tourillon, fixations d’essieu, fixations de vérin de direction, tourillon d’essieu, mât, rouleaux de mât, chariot, rouleaux de chariot, flèche, flèche télescopique, fixations de flèche, fixations de cylindre de flèche, tiges, buissons, stabilisateur de joints.
MOULAGES ET REVÊTEMENTS, CHÂSSIS DE ROULEMENT, TENDEURS, RÉGLAGES DE CHENILLES, TRAIN DE ROULEMENT : Roulements, arbre, rondelles de butée, joints, joints d’entrée (défaillance interne), tendeurs avant, arbres tendeurs, assemblage de réglage de chenille, ressorts de tension, engrenages de bouteur, pignons, roues à couronne, attelage, commandes de direction et de frein, arbre d’entraînement final, pignons de chaîne/segments (pour les ruptures le cas échéant).
AUTRES COMPOSANTS : Composants d’extrémité du compresseur à air, composants d’extrémité du groupe électrogène/de la soudeuse électrique, pompe à eau – composants d’extrémité de la pompe, structures ROPS et FOPS.
LA PRÉSENTE ENTENTE NE COUVRE PAS : LA DÉFAILLANCE DE L’ÉQUIPEMENT DUE À UNE UTILISATION DANS DES CONDITIONS AUTRES QUE CELLES POUR LESQUELLES IL EST CONÇU; LES COÛTS D’INSTALLATION OU DE CONFIGURATION; LES FRAIS DE DIAGNOSTIC; LES PERTES COUVERTES PAR LA GARANTIE LIMITÉE DU FABRICANT; LES RÉVISIONS ET/OU LES ENTRETIENS PÉRIODIQUES; LA PERTE DE REVENUS OU DE PROFITS; LA PERTE DE JOUISSANCE DE L’ÉQUIPEMENT; LES ÉQUIPEMENTS NON COUVERTS INITIALEMENT PAR UNE GARANTIE DU FABRICANT VALABLE POUR LES ACHETEURS CANADIENS. L’ACHETEUR DOIT EFFECTUER TOUS LES ENTRETIENS PÉRIODIQUES ET PRÉVENTIFS RECOMMANDÉS PAR LE FABRICANT POUR MAINTENIR L’ÉQUIPEMENT EN BON ÉTAT DE FONCTIONNEMENT. NI LES PERTES OU DOMMAGES RÉSULTANT DU DÉFAUT D’ENTRETIEN DU FABRICANT, NI LES PERTES OU DOMMAGES RÉSULTANT DE L’USURE NORMALE, NE SONT COUVERTS PAR LE PRÉSENT CONTRAT.
LES COÛTS SUIVANTS SONT À LA CHARGE DU CLIENT :
- LA RÉPARATION OU LE REMPLACEMENT DES PIÈCES QUI SONT NORMALEMENT DESTINÉES À ÊTRE REMPLACÉES PÉRIODIQUEMENT OU CONSOMMÉES PENDANT LA DURÉE DE VIE DE L’ÉQUIPEMENT : P. EX., FILTRES À AIR OU À EAU, FUSIBLES, ÉLÉMENTS ESTHÉTIQUES, PNEUS, OU PIÈCES NON FONCTIONNELLES.
- LES DOMMAGES RÉSULTANT DE :
- L’UTILISATION D’ACCESSOIRES QUI NE SONT PAS APPROUVÉS PAR LE FABRICANT.
- LE MAUVAIS RACCORDEMENT DES CÂBLES DE SIGNAL OU LA MAUVAISE ALIMENTATION ÉLECTRIQUE; LA DÉFAILLANCE OU LA MAUVAISE UTILISATION DE TOUTE SOURCE ÉLECTRIQUE; LE RACCORDEMENT ÉLECTRIQUE À UN AUTRE ÉQUIPEMENT DONT L’INTERCONNEXION N’EST PAS RECOMMANDÉE PAR LE FABRICANT DE L’ÉQUIPEMENT; OU LA FUITE DE LA BATTERIE.
- CAUSES EXTERNES, NOTAMMENT INCENDIE, VOL, ACCIDENT, COLLISION AVEC UN OBJET, DOMMAGES CAUSÉS PAR UN IMPACT, DES INSECTES, DES ANIMAUX, DU SABLE, DE LA SALETÉ, UNE EXPOSITION AUX INTEMPÉRIES, TEMPÊTE DE VENT, GRÊLE, FOUDRE, SÉISME, FAIT DE DIEU, EXPLOSION, INONDATION, EAU. LA CONTAMINATION NUCLÉAIRE/BIOLOGIQUE OU CHIMIQUE OU RADIOLOGIQUE, OU LA VARIATION ANORMALE DE L’ALIMENTATION EN EAU OU EN ÉLECTRICITÉ.
- UN ABUS, UNE MAUVAISE UTILISATION OU DE LA NÉGLIGENCE.
- LES PERTES OU DOMMAGES CAUSÉS DIRECTEMENT OU INDIRECTEMENT PAR UNE GUERRE, UNE INVASION OU UN ACTE D’HOSTILITÉ D’UN ENNEMI ÉTRANGER, LE TERRORISME (NATIONAL OU ÉTRANGER), UNE GUERRE CIVILE, UNE RÉBELLION, UNE INSURRECTION, UNE ÉMEUTE. UNE GRÈVE, UNE PERTURBATION DU TRAVAIL, UN LOCK-OUT OU DES TROUBLES CIVILS.
- UN EMBARGO OU DES MESURES GOUVERNEMENTALES.
- LES FRAIS DE TRANSPORT POUR LA LIVRAISON ACCÉLÉRÉE DE PIÈCES.
- LES FRAIS DE SERVICE POUR LESQUELS AUCUN PROBLÈME N’EST TROUVÉ.
- LES COÛTS DE TRANSPORT.
- LES FRAIS D’AMÉLIORATION ET DE MISE À NIVEAU DE L’ÉQUIPEMENT. LES RÉGLAGES DU CLIENT, LA PROGRAMMATION, L’ÉDUCATION OU TOUTE AUTRE OPÉRATION QUI N’EST PAS UN ÉVÉNEMENT DE RÉPARATION OU DE SERVICE COUVERT.
Pour obtenir un service, communiquez avec la succursale United Rentals figurant sur votre facture afin de connaître le point de service autorisé le plus approprié. Toutes les réparations doivent être autorisées par l’Obligé avant l’exécution des travaux couverts. EN DEHORS DES HEURES NORMALES D’OUVERTURE, CONTACTEZ L’OBLIGÉ AU [1-800-UR-RENTS] POUR PLANIFIER LE SERVICE OU LA RÉPARATION. Si des réparations d’urgence sont requises en dehors des heures normales d’ouverture, APPELEZ [1-800-UR-RENTS].
Le Client est responsable des coûts de transport engagés pour toutes les réparations et/ou tous les services fournis en vertu du présent Contrat.
NI L’OBLIGÉ, NI AUCUN RÉPARATEUR, N’EST RESPONSABLE DE TOUT DOMMAGE OU PERTE DE CARACTÈRE INDIRECT, SPÉCIAL, FORTUIT OU CONSÉCUTIF; Y COMPRIS, MAIS SANS S’Y LIMITER, LES DOMMAGES MATÉRIELS, LA PERTE DE TEMPS, LA PERTE DE REVENUS OU DE PROFITS, LA PERTE DE JOUISSANCE DE L’ÉQUIPEMENT, L’INTERRUPTION DES ACTIVITÉS, LES DOMMAGES LIÉS AUX DOMMAGES MATÉRIELS OU AUX BLESSURES CORPORELLES, OU LES DOMMAGES LIÉS À UN DÉCÈS INJUSTIFIÉ, OU TOUT AUTRE DOMMAGE ATTRIBUABLE À LA DÉFAILLANCE D’UN ÉQUIPEMENT ENTRETENU EN VERTU DU PRÉSENT ACCORD, DES RETARDS DANS L’ENTRETIEN, OU L’INCAPACITÉ À ENTRETENIR L’ÉQUIPEMENT.
Avec votre Facture, ce document constitue l’intégralité du Contrat entre les parties, et aucune déclaration, promesse ou condition non incluse dans ledit document ne pourra modifier les présentes conditions.
Le présent Contrat est au bénéfice du Client nommé sur votre Facture uniquement et n’est ni transférable ni cessible.
Vous pouvez annuler le présent Contrat pour quelque raison que ce soit et en tout temps en appelant la succursale United Rentals où vous avez acheté l’équipement au numéro indiqué sur votre facture. Si vous annulez le présent Contrat dans les trente (30) jours suivant sa réception, vous recevrez un remboursement complet, moins le coût de toute réclamation. Si vous annulez trente (30) jours après la réception du présent Contrat, l’Obligé vous versera (i) un remboursement au prorata de la période écoulée, moins (ii) des frais d’annulation de 25,00 $ ou 10 % du montant du remboursement au prorata (selon le montant le moins élevé) et moins (iii) le coût de toute réclamation. L’Obligé ne peut pas annuler le présent Contrat sauf (1) en cas de défaut de paiement de votre part d’un montant à son échéance; (2) si votre condamnation pour un crime entraîne une augmentation du service requis en vertu du présent Contrat; (3) si vous découvrez une fraude ou une fausse déclaration importante dans le cadre de l’obtention du présent Contrat ou dans la présentation d’une demande de service en vertu des présentes; ou, (4) si l’un des éléments suivants est découvert et qu’il est survenu après la date d’entrée en vigueur du présent Contrat et a augmenté de façon substantielle et notable le service requis en vertu du présent Contrat : (a) un acte ou une omission de votre part; ou (b) une violation de votre part de toute disposition du présent Contrat.
Les parties conviennent que toute réclamation ou tout litige entre elles ou contre tout agent, employé, successeur ou cessionnaire de l’autre, qu’il soit lié au présent Contrat ou à la relation ou aux obligations envisagées en vertu du présent Contrat, y compris la validité de la présente clause d’arbitrage, sera résolu par un arbitrage exécutoire mené conformément à la Loi de 1991 sur l’arbitrage (Ontario). Toute sentence du ou des arbitres peut être inscrite comme jugement devant tout tribunal compétent, y compris les recours de reprise de possession, de replevin, de forclusion ou autres recours où la propriété serait sujette à réclamation ou disposition.
VOUS ET NOUS COMPRENONS ET CONVENONS QU’EN RAISON DE CETTE CLAUSE D’ARBITRAGE, AUCUN D’ENTRE NOUS N’AURA LE DROIT DE SE PRÉSENTER DEVANT UN TRIBUNAL, OU D’AVOIR UN PROCÈS DEVANT JURY, OU DE PARTICIPER EN TANT QUE REPRÉSENTANT OU MEMBRE D’UN GROUPE OU D’UN DEMANDEUR CONCERNANT UNE RÉCLAMATION.
Le présent Contrat sera régi et interprété conformément aux lois de l’Ontario et aux lois fédérales du Canada.
Le Client reconnaît et confirme qu’il a demandé que le présent Contrat et tout autre document envisagé par les présentes soient rédigés en anglais uniquement. Le client reconnait et confirme avoir demandé que le présent contrat et tous les autres documents dont il est question aux présents soient rédigés en anglais uniquement.
